1. Acceptance of Terms
By accessing or using Repricefy ("the Service"), operated by Prime Store LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. Your continued use of the Service after any modifications to these Terms constitutes acceptance of those changes. We recommend reviewing these Terms periodically.
2. Description of Service
Repricefy is an automated repricing and supplier price monitoring platform designed for Amazon sellers. The Service monitors product prices from third-party retail suppliers, calculates optimal selling prices based on user-configured strategies, and pushes price updates to Amazon via the Selling Partner API (SP-API). The Service also provides order tracking, competitor analysis, workflow automation, and reporting tools. Features and functionality may vary by subscription plan.
3. Account Registration & Responsibility
To use the Service, you must create an account by providing accurate and complete information. Each account is associated with a tenant (organization). The account owner ("Owner") is responsible for all activity under their tenant, including actions taken by team members they invite. You must keep your login credentials secure and notify us immediately of any unauthorized access. You may not share accounts across organizations or use the Service for any unlawful purpose.
4. Subscription & Billing
Repricefy offers a free tier and multiple paid subscription plans billed monthly through Stripe. Paid plans renew automatically at the end of each billing cycle unless cancelled. You may cancel your subscription at any time through the billing portal; access continues until the end of the current paid period. Refunds are not provided for partial billing periods. We reserve the right to change pricing with 30 days' prior notice. Failure to pay may result in downgrade to the free tier, which may pause products exceeding the free plan limit.
5. Amazon SP-API Integration
By connecting your Amazon Seller Central account, you authorize Repricefy to act on your behalf through the Amazon Selling Partner API. This includes reading your catalog, orders, and competitive pricing data, as well as submitting price and quantity updates to your listings. You acknowledge that: (a) Repricefy is not affiliated with Amazon; (b) Amazon may modify, restrict, or revoke API access at any time; (c) you are solely responsible for ensuring your listings comply with Amazon's policies and terms of service; and (d) Repricefy is not liable for any actions taken by Amazon, including account suspension or listing removal, resulting from price changes made through the Service.
6. Supplier Price Monitoring
Repricefy monitors publicly available prices from third-party retail websites ("Suppliers") to inform repricing decisions. We do not guarantee the accuracy, completeness, or timeliness of supplier price data. Prices may change between the time of scraping and the time a repricing action is executed. Supplier websites may block or restrict automated access, causing temporary data gaps. You should independently verify critical pricing data before making business decisions based solely on supplier price information provided by the Service.
7. Repricing Disclaimer
The Service calculates suggested prices based on repricing strategies configured by you. You are responsible for setting appropriate price floors, ceilings, margin targets, and safety guardrails. Repricefy does not guarantee that any particular repricing strategy will result in increased sales, Buy Box wins, or profitability. You acknowledge that automated repricing carries inherent risks, including the possibility of prices being set too low or too high due to data inaccuracies, market volatility, or configuration errors. Repricefy is not liable for any financial losses resulting from automated price changes.
8. Data Handling & Security
We take data security seriously. Amazon SP-API credentials are encrypted at rest using AES-256-GCM encryption. User passwords are hashed using bcrypt. All data is transmitted over HTTPS/TLS. Your tenant data is logically isolated through our multi-tenant architecture — no other tenant can access your products, orders, or credentials. We perform regular automated database backups. While we implement industry-standard security measures, no system is completely secure, and we cannot guarantee absolute security of your data.
9. Intellectual Property
All software, code, algorithms, designs, content, and documentation comprising the Service are the exclusive property of Prime Store LLC and are protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not reverse-engineer, decompile, copy, or create derivative works based on the Service. Your data remains your property; we claim no ownership over your product listings, orders, or business data.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIME STORE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
11. Termination
You may terminate your account at any time by cancelling your subscription and contacting support. We may suspend or terminate your account if you violate these Terms, engage in abusive or fraudulent activity, or fail to pay applicable fees. Upon termination: (a) your access to the Service will cease; (b) your data will be retained for 30 days to allow retrieval, after which it will be permanently deleted; (c) any pending repricing actions will be cancelled; and (d) no refunds will be issued for the remaining subscription period.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Richmond, Virginia. You consent to the personal jurisdiction and venue of such courts. Before initiating formal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of at least 30 days.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to the address associated with your account and posted on this page at least 30 days before they take effect. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must discontinue use of the Service before the effective date.
